These Additional Terms of Service for Wholesale Products (“Wholesale Terms”) apply to purchases of products (“Products”) made by approved wholesale buyers (“Buyer”) from Meister Made (“Seller”).

By submitting a wholesale order to Meister Made, Buyer acknowledges and agrees to these Wholesale Terms, in addition to any other applicable Meister Made Terms of Service, policies, or order-specific terms provided by Seller.

Seller and Buyer may each be referred to as a “Party” and collectively as the “Parties.”

The Parties agree to the following terms of sale:

  1. Wholesale Buyer Business Information:

    Wholesale Buyers will be retailers who have a storefront, online shop on their own domain, and/or pop-up vendor booths.

    The Buyer must provide a valid business name, address, contact telephone number and email address, details about the type of business, sales tax information & submit a tax exemption certificate. Buyers must also share their plans for selling Meister Made Products, share Social Media and Website URLs, and must agree to these terms and conditions. Meister Made will verify the business information provided by the Buyer. Verification may include a third party verification process. Meister Made may also display such business information on a product listing, seller pages, and/or order or transaction pages.

    Requests for a wholesale account must be submitted on the Wholesale page. Each request is reviewed manually and verified prior to account creation.

  2. Purchases by Buyer Are Exclusively For Resale Directly To Retail Customers: Buyer agrees it will sell Product only to retail customers and not to other wholesale customers. Failure to comply with resale policies may result in suspension or termination of wholesale privileges
    • Online Marketplaces: Buyer agrees not to list any Products from Meister Made and sell them on external marketplaces including, but not limited to Etsy, Walmart, Amazon, and TikTok Shop. Buyers found to be reselling Meister Made products on third-party marketplaces will be terminated from future purchases from Meister Made.

      Buyer may sell Meister Made Products only through the sales channels disclosed during the wholesale application process or subsequently approved in writing by Meister Made.

    • Retail or Third-Party Placement: Buyer may sell Meister Made Products directly to retail customers through Buyer’s approved storefront, online shop, pop-up, or other sales channel disclosed during the wholesale application process.

      Buyer may not sell, transfer, distribute, consign, or otherwise provide Meister Made Products to another business, retailer, reseller, distributor, or third-party sales location without prior written authorization from Meister Made.

      If Meister Made authorizes third-party placement, Buyer must provide the name, address, contact information, website or social media information (if applicable), and general terms of the arrangement for each approved third-party location.

      Meister Made may approve or decline third-party placement requests at its sole discretion. Approval of one location does not constitute approval of additional locations.

      Buyer must obtain Meister Made's written approval before adding any additional third-party retail locations.

    • No Unauthorized Distribution: Wholesale purchasing privileges do not create a distribution, dealership, agency, representative, or exclusive territory relationship between Buyer and Meister Made.

      Buyer may not represent itself as an authorized distributor, representative, agent, or exclusive seller of Meister Made Products unless Meister Made has provided written authorization to do so.

      Buyer may not establish or represent a retail relationship with a third-party business involving Meister Made Products without Meister Made’s prior written approval.

  3. Wholesale Order Transaction Details:
    • Order Minimums: Seller will communicate any product or order minimums with Buyer.
    • Pricing: Buyer will confirm current wholesale prices, which may change from time to time, prior to placing orders.
    • Discounts: Discount codes, affiliate and ambassador commissions, and other price adjustments (except quantity discounts) are not valid for wholesale orders, unless authorized by Meister Made on an order-by-order basis.
    • Payment: Payment is required in full before an order is fulfilled, unless otherwise agreed in writing by Meister Made. Meister Made may decline to accept or fulfill additional orders while any amount owed by Buyer remains unpaid.
    • Taxes: Buyers with a tax exemption certificate on file will not be charged tax on Products by Meister Made.

      Buyer is responsible for determining and complying with applicable sales tax, resale, and other tax obligations related to its sales to retail customers.

    • Shipping & Handling: All Wholesale Product orders will be shipped in bulk. Seller will use standard delivery service from USPS, UPS or other reputable carrier and will include tracking. Shipping costs will be paid by Buyer. Local pickup or delivery may also be available. See Shipping Policy for general policies.
    • Risk of Loss: Once a wholesale order has been delivered to the shipping address provided by Buyer, Buyer is responsible for the Products, including loss, theft, or damage occurring after delivery. Buyer is responsible for providing an accurate and secure delivery address. Meister Made is not responsible for carrier delays outside of Seller's control.
    • Product Availability/Discontinuation: Meister Made may discontinue, modify, or change Products, materials, colors, packaging, or designs at any time. If an ordered Product becomes unavailable before fulfillment, Meister Made may offer a substitute, delay fulfillment, or refund the unavailable portion of the order.
    • Fulfillment: Meister Made generally ships wholesale orders within two weeks following Buyer's payment and final approval of virtual mockups of Product with Buyer's custom artwork, if applicable. Buyer understands Product availability and order backlog may impact fulfillment times. If Meister Made is unable to fulfill any portion of an order on a timely basis, Meister Made may refund Buyer’s account for the shortfall. Meister Made will communicate any delays in fulfillment as soon as possible.
    • Backorders: Buyer may place a backorder to reserve items that are temporarily out of stock. Backorders require upfront payment. Estimated delivery dates will be provided but may change due to delays beyond Seller’s control.
    • Multiple Shipments: If your order includes both in-stock items and backordered items, Meister Made will ship the available products first. The backordered items will be shipped separately when they become available.

    • Order Cancellation: Buyer may request cancellation of non-personalized products within 1 hour of order placement. Buyer may request cancellation of custom/personalized items within 15 minutes of order placement. Custom or personalized orders may not be cancelled once production has begun. Meister Made will review all cancellations and determine approval and associated refunds. 
  4. Product Pricing for Resale:
    • Wholesale Pricing: Wholesale pricing is established by Meister Made and may vary by Product, quantity, or other applicable wholesale pricing structure. Current wholesale pricing will be provided to Buyer prior to order placement.
    • MSRP: Meister Made may provide a Manufacturer’s Suggested Retail Price (“MSRP”) for Products. MSRP is generally based on the then-current full retail price for the same Product offered by Meister Made through its retail website. MSRP may change from time to time.

      MSRP is a suggested price only. Buyer independently determines the prices at which Buyer sells Products to retail customers.

    • Discounts to Customers: Buyer may offer discounts or promotions to its customers at Buyer’s discretion.
  5. Product Standards & Responsibilities:
    • Retailer Presentation: Buyer is responsible for presenting Products to its customers in a professional and attractive manner and for accurately describing Products to its customers.

      Buyer may not make claims about Product characteristics, materials, intended use, safety, or performance that are inconsistent with information provided by Meister Made.

    • Seller's Product Obligations: Meister Made will use reasonable care in producing and fulfilling wholesale orders and will make reasonable efforts to ensure that Products conform to the specifications, quantities, and approved proofs applicable to the order.

      Meister Made is responsible for correcting or replacing Products that are defective, materially damaged prior to delivery, or incorrectly produced due to an error attributable to Meister Made, subject to the inspection and claim requirements described in these Wholesale Terms.

      Meister Made will provide product information, specifications, care instructions, and other product details when applicable and available. Buyer is responsible for accurately communicating this information to its retail customers and for not making representations about Products that are inconsistent with information provided by Meister Made.

      Meister Made is not responsible for defects, damage, or other issues resulting from Buyer's alteration, modification, improper storage, improper handling, misuse, unauthorized customization, or failure to follow product care or handling instructions provided by Meister Made.

      Except as expressly stated in these Wholesale Terms or otherwise required by applicable law, Meister Made's obligations with respect to Products are limited to those expressly described in these Wholesale Terms and the applicable order.

    • Handmade & Product Variations: Meister Made Products are handmade, individually produced, or decorated in small batches. Minor variations in color, texture, engraving, printing, placement, finish, or other appearance may occur and are considered normal characteristics of handmade production rather than defects, unless the variation materially affects the Product's function or substantially differs from the approved specifications.

      Where a Buyer approves a virtual mockup or proof, the finished Product may have minor variations from the digital representation due to production methods, materials, screen or display settings, and other manufacturing factors.

    • Custom Products & Approvals For Products involving Buyer-provided artwork, logos, names, text, or other customization, Meister Made may provide a virtual mockup or proof for Buyer’s approval before production.

      Buyer is responsible for carefully reviewing and approving all spelling, names, dates, artwork, colors, quantities, dimensions, and other details shown in the approved proof.

      Buyer is responsible for providing artwork in a suitable format and sufficient quality for the intended production method.

      Once Buyer approves a proof, changes requested afterward may result in additional charges and/or changes to the fulfillment timeline.

      Custom or personalized Products may not be returned or cancelled after production has begun, except in the case of a defect or error attributable to Meister Made.

  6. Brand Identity and Intellectual Property: Meister Made’s company name, logos, and design remain the property of Meister Made.
    • Buyer Provided Content for Customization Buyer represents that it owns or has permission to use all artwork, logos, trademarks, names, and other materials provided to Meister Made for customization and grants Meister Made permission to use those materials solely to fulfill the Buyer's order.

      Buyer is responsible for any claims arising from Buyer's unauthorized use of third-party artwork, logos, trademarks, names, or other intellectual property supplied by Buyer.

    • Branding Usage:

      Meister Made may, at its discretion, provide approved product photographs, logos, product descriptions, and other marketing materials for Buyer's use in connection with the sale of Meister Made Products. Such materials remain the property of Meister Made and may be used only to promote authorized sales of Meister Made Products. Buyer may submit a request to use Meister Made’s logo, product images, as well as product titles and descriptions. These may be requested by emailing orders@meister-made.com.

    • Product Branding: Buyer must identify Meister Made as the maker or brand of Meister Made Products in product listings, websites, social media, signage, displays, and other public-facing marketing materials.

      Acceptable examples include “Meister Made Pup Cup” and “Pup Cup by Meister Made.”

      Buyer may not represent, imply, or suggest that Buyer manufactured, designed, or owns the Meister Made Product or its underlying design.

      Buyer may not remove or obscure Meister Made branding, hang tags, stickers, labels, or other identifying materials attached to Products or their packaging without prior written authorization from Meister Made.

    • Social Media Tags: Buyer may tag @Meister_Made on Instagram and Meister Made on Facebook.
  7. Termination clause: Either Party may end the wholesale relationship at any time by providing written notice to the other Party.

    Meister Made may immediately suspend or terminate Buyer’s wholesale account or refuse future wholesale orders if Buyer violates these Wholesale Terms, fails to pay amounts due, provides materially inaccurate business information, engages in unauthorized resale or redistribution, misuses Meister Made intellectual property or branding, or otherwise engages in conduct that Meister Made reasonably determines is harmful to the Meister Made brand or business.

    Termination does not relieve either Party of obligations or amounts owed that arose before the effective date of termination. Provisions that by their nature should survive termination will remain in effect.

  8. Acknowledgment: By purchasing from Meister Made, Buyer agrees to these additional terms.

    Meister Made may update these Wholesale Terms from time to time. Updated terms will be provided to existing wholesale Buyers and will apply to orders placed after the effective date of the updated terms.

  9. Governing Law: These Wholesale Terms and any transaction between Buyer and Seller shall be governed by the laws of the State of Ohio, without regard to its conflict-of-law provisions.
